Disclosed is an iron-based alloy having a shape-memory property and superelasticity. The alloy comprises 25-35% by mass of Ni, 13-25% by mass of Co, 2-8% by mass of Al, at least one component selected from the group consisting of 1-5% by mass of Ti, 2-10% by mass of Nb and 3-20% by mass of Ta in a total amount of 1-20% by mass, and the remainder comprising substantially Fe and inavoidable impurities. The iron-based alloy is composed substantially of gamma-phase and gamma'-phase and has a re-crystallized coherent tissue wherein a specific crystal orientation is uniform in the gamma-phase, in which the difference between the reverse transformation end temperature and the martensitic transformation start temperature in the thermal hysteresis in martensitic transformation and reverse transformation is 100 DEG C or lower.
